Welcome to Nurox. The terms "Nurox," "we," "us," and "our" refer to Nurox Labs LLC, a Delaware limited liability company with its principal address at 16192 Coastal Highway, Lewes, DE 19958, United States. Nurox operates this store and website (nuroxlabs.com), including all related information, content, features, tools, products, and services (collectively, the "Services"). Nurox is powered by Shopify, Inc., which enables us to provide the Services to you.

These Terms of Service, together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced herein (collectively, the "Terms"), describe your rights and responsibilities when you access or use the Services. Please read these Terms carefully — they include important provisions that affect your legal rights, including a binding arbitration clause and a class action waiver (Section 19) and a limitation of liability (Section 16).

By visiting, interacting with, browsing, or purchasing from our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

1. Eligibility

By using the Services or purchasing any product, you represent and warrant that:

  • You are at least 18 years of age;
  • You are a resident of the United States;
  • You have the full legal capacity and authority to enter into a binding contract;
  • You are not prohibited from receiving our products under the laws of the United States or your state of residence;
  • All information you provide to us is true, accurate, current, and complete.

We do not knowingly sell or market our products to anyone under 18. If we learn that we have collected personal information from anyone under 18, we will delete that information.

2. Acceptance and Modification of Terms

These Terms apply to all visitors, users, and customers of the Services. We may update, change, or replace any part of these Terms at any time by posting the updated version on this page and updating the "Last Updated" date. Your continued use of the Services after any change constitutes acceptance of the revised Terms. You are responsible for reviewing this page periodically.

If any change is material, we will make reasonable efforts to notify you, including by email if you have an account with us.

3. Products

3.1 Product Information

Nurox Focus Pouches and any other products we offer are dietary supplements intended for use by healthy adults. We make every effort to display product images, descriptions, ingredient lists, and supplement facts accurately. However, we cannot guarantee that your device's display of any color or image will be accurate, and minor variations in product appearance, packaging, or formulation may occur.

3.2 Availability

All products are subject to availability. We reserve the right to limit quantities, refuse, modify, or cancel any order at our sole discretion, including orders that appear to be placed by resellers, distributors, or for bulk resale without authorization.

3.3 Pricing

All prices are listed in U.S. Dollars (USD) and are subject to change without notice. We make every effort to ensure pricing accuracy but reserve the right to correct any pricing errors and to cancel any order placed at an incorrect price, even after the order has been submitted or confirmed.

3.4 Promotional Codes

Discount codes, promotional offers, and coupons are non-transferable, may not be combined unless expressly stated, may have expiration dates, and may be modified or revoked at our sole discretion.

4. Orders, Billing, and Payment

4.1 Order Acceptance

Your submission of an order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including suspected fraud, payment authorization failure, inventory limitations, errors in pricing or product information, or shipping restrictions.

4.2 Payment Authorization

By submitting payment information, you authorize us (and our payment processor) to charge the payment method you provide for the full amount of your order, including taxes and shipping. Charges will appear on your statement under the descriptor "NUROX*FOCUS" or a similar variation. If you do not recognize a charge, please contact us at support@nuroxlabs.com or 302-217-3024 before initiating a chargeback.

4.3 Accurate Information

You agree to provide accurate, current, and complete billing, shipping, and contact information and to keep it updated. We are not responsible for delays, failed deliveries, or losses caused by inaccurate information.

4.4 Taxes

Sales tax will be calculated and added to your order where applicable based on your shipping address.

5. Subscriptions and Auto-Renewal

If you enroll in a recurring subscription for any Nurox product, the following terms apply in addition to all other Terms:

5.1 Recurring Billing

By enrolling in a subscription, you authorize us to automatically charge your payment method on the recurring schedule you select (e.g., every 30 days), at the then-current price plus applicable taxes and shipping, until you cancel.

5.2 Reminder Notifications

You will receive an email reminder before each scheduled renewal. The reminder will include the next billing date, the amount to be charged, and instructions for canceling or modifying your subscription.

5.3 Cancellation

You may cancel your subscription at any time before the next renewal date by:

  • Logging into your account on nuroxlabs.com and managing your subscription;
  • Emailing us at support@nuroxlabs.com; or
  • Calling us at 302-217-3024.

Cancellation is effective for future renewals only. Orders that have already been processed and shipped will not be refunded as a result of cancellation, but are subject to our Refund Policy.

5.4 Price Changes

We may change subscription prices at any time. You will be notified by email at least 14 days before a price change takes effect and may cancel before the new price applies.

5.5 California, New York, and Other State Auto-Renewal Laws

We comply with applicable state auto-renewal laws, including the California Automatic Renewal Law. Subscription terms are presented clearly before checkout, you must affirmatively consent at checkout, and you may cancel at any time using the methods above.

6. Shipping and Delivery

Shipping terms, timeframes, and costs are described in our Shipping Policy. Shipping times are estimates only and not guaranteed. Risk of loss and title pass to you upon delivery to the carrier. We ship to addresses within the United States only. We are not liable for shipping delays caused by carriers, weather, or other circumstances outside our reasonable control.

7. Returns and Refunds

All returns and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Please review the Refund Policy before placing an order.

8. MEDICAL DISCLAIMER AND ASSUMPTION OF RISK

PLEASE READ THIS SECTION CAREFULLY.

8.1 Not Medical Advice

Nurox products are dietary supplements. The information provided on the Services — including ingredient descriptions, product pages, blog posts, marketing materials, social media content, and customer testimonials — is for general informational purposes only and is not medical advice, diagnosis, or treatment. Nothing on the Services creates a doctor-patient, healthcare provider, or fiduciary relationship between you and Nurox.

8.2 FDA Statement

These statements have not been evaluated by the Food and Drug Administration. Nurox products are not intended to diagnose, treat, cure, or prevent any disease.

8.3 Consult a Healthcare Professional

You should consult a qualified healthcare professional before using any Nurox product, particularly if you:

  • Are pregnant, nursing, or trying to become pregnant;
  • Are under 18 years of age;
  • Have any medical condition, including but not limited to cardiovascular disease, hypertension, diabetes, anxiety disorder, depression, or any neurological condition;
  • Are taking any prescription medication, over-the-counter medication, or other dietary supplement;

8.4 Assumption of Risk

You acknowledge that dietary supplements may produce different effects in different individuals, that individual results vary, and that no specific result is guaranteed. By purchasing and using Nurox products, you voluntarily assume all risks associated with their use, including the risk of allergic reaction, interaction with medications or other supplements, or adverse effects.

8.5 Discontinue and Seek Help

If you experience any adverse reaction, discontinue use immediately and consult a healthcare professional. In the case of a medical emergency, call 911 or your local emergency number.

9. Allergen and Ingredient Acknowledgment

It is your responsibility to review the complete ingredient list and supplement facts panel for any Nurox product before purchase or use. By placing an order, you acknowledge that:

  • You have reviewed the ingredient list;
  • You have confirmed that you do not have any known allergy, sensitivity, or contraindication to any ingredient;
  • You have considered any potential interaction with medications or other supplements you take;
  • You assume full responsibility for your use of the product.

Nurox is not liable for any adverse reaction, allergic response, or interaction resulting from your use of our products.

10. Affiliate, Creator, and Third-Party Content

Nurox partners with content creators, affiliates, ambassadors, and influencers across platforms including TikTok, Instagram, YouTube, and others. Content created by these third parties — including videos, reviews, social media posts, and testimonials — represents the personal opinions and experiences of the individual creators and does not necessarily reflect the views, claims, or policies of Nurox.

  • Creator statements are not medical advice and have not been reviewed or approved by a healthcare professional.
  • Individual results vary; testimonial outcomes are not typical or guaranteed.
  • We are not responsible for claims, statements, or representations made by affiliates or creators that exceed the official product descriptions on nuroxlabs.com.
  • Sponsored or affiliate content is disclosed in accordance with applicable Federal Trade Commission ("FTC") guidelines.

If you encounter content from a creator that appears to make medical claims, guarantee results, or otherwise misrepresent our products, please report it to support@nuroxlabs.com.

11. Intellectual Property

All content on the Services — including the Nurox name and logo, product names, trademarks, service marks, product designs, packaging, photography, illustrations, copy, code, and the overall look and feel of the site — is the exclusive property of Nurox Labs LLC or its licensors and is protected by U.S. and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. You may not:

  • Copy, reproduce, modify, distribute, sell, or exploit any part of the Services or its content without our prior written permission;
  • Use our trademarks, logos, or product imagery in connection with any product or service that is not Nurox's, in any manner that is likely to cause confusion, or in any manner that disparages Nurox;
  • Scrape, harvest, frame, mirror, or otherwise reproduce the Services or any portion thereof;
  • Use any data mining, robots, or similar data gathering or extraction methods.

12. User Submissions

If you submit reviews, comments, photos, videos, suggestions, ideas, feedback, or other content to us or post such content on the Services or on our social media channels ("Submissions"), you grant Nurox a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the Submissions in any medium and for any purpose, including marketing and advertising, without compensation to you.

You represent and warrant that:

  • The Submission is your original work or you have the right to grant the license above;
  • The Submission does not infringe any third party's rights;
  • The Submission is not defamatory, obscene, threatening, harassing, or otherwise unlawful;
  • The Submission does not contain any malicious code or computer virus.

We may, but are not obligated to, monitor, edit, or remove any Submission at our sole discretion.

13. Prohibited Uses

You agree not to use the Services:

(a) for any unlawful purpose or to solicit others to perform unlawful acts; (b) to violate any federal, state, local, or international law, regulation, or ordinance; (c) to infringe upon any intellectual property right of Nurox or any third party; (d) to harass, abuse, harm, defame, slander, or discriminate against any person based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (e) to submit false or misleading information, including for purposes of payment fraud, return fraud, or chargeback fraud; (f) to upload or transmit viruses, malware, or any code designed to interfere with the operation of the Services; (g) to collect or track personal information of others; (h) to spam, phish, pretext, spider, crawl, or scrape the Services; (i) to resell, distribute, or repackage Nurox products without our prior written authorization; (j) to make any unauthorized representation, claim, or statement about Nurox products; (k) to circumvent or interfere with any security feature of the Services; (l) to use the Services in any way that could damage, disable, overburden, or impair the Services.

We reserve the right to terminate your access to the Services and to cancel or refuse any order in the event of a breach of this Section.

14. Errors, Inaccuracies, and Omissions

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any such errors, change or update information, and cancel orders at any time without prior notice, including after an order has been submitted or paid. If we cancel an order due to such an error after payment, we will refund the amount charged.

15. Third-Party Links and Tools

The Services may contain links to third-party websites and may integrate third-party tools (such as payment processors, analytics services, advertising platforms, and customer support tools). We do not control, monitor, or endorse these third parties, and we are not responsible for their content, practices, or policies. Your interactions with any third party are solely between you and that third party, and you should review their terms and privacy policies before engaging with them.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free;
  • The results obtained from use of any product will meet your expectations;
  • Any errors in the Services will be corrected;
  • The Services or the servers that make them available are free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the foregoing exclusions apply to the maximum extent permitted by law.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NUROX LABS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, PERSONAL INJURY, OR ANY OTHER INTANGIBLE LOSS — even if we have been advised of the possibility of such damages — arising out of or in connection with:

(a) your use of, or inability to use, the Services; (b) any product purchased through the Services; (c) unauthorized access to or alteration of your transmissions or data; (d) any other matter relating to the Services.

Our total aggregate liability to you for any and all claims arising out of or relating to these Terms, the Services, or any product shall not exceed the greater of (i) the amount you paid Nurox in the six (6) months immediately preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Nurox Labs LLC and its officers, directors, members, employees, affiliates, agents, contractors, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

(a) your breach of these Terms; (b) your use or misuse of any Nurox product or the Services; (c) your violation of any law or the rights of any third party; (d) any Submission you make to the Services; (e) any adverse reaction, injury, or harm resulting from your failure to follow product warnings or to consult a healthcare professional as recommended in Section 8.

19. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

19.1 Informal Resolution

Before initiating any formal proceeding, you and Nurox agree to attempt to resolve any dispute informally by contacting us at support@nuroxlabs.com with a written description of the dispute and your requested resolution. We will attempt to resolve the dispute within 60 days. If we cannot reach a resolution, either party may proceed under the formal procedures below.

19.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any Nurox product — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that you may bring qualifying claims in small claims court.

The arbitration shall be administered by JAMS under its Streamlined Arbitration Rules then in effect (available at jamsadr.com), or by AAA under its Consumer Arbitration Rules if JAMS is unavailable. The arbitration shall take place in Wilmington, Delaware, or by video conference at the arbitrator's discretion. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., governs the interpretation and enforcement of this Section.

19.3 Class Action Waiver

YOU AND NUROX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

19.4 30-Day Opt-Out

You may opt out of this arbitration agreement by sending a written notice to support@nuroxlabs.com within 30 days of first accepting these Terms. The notice must include your full name, mailing address, email address used to make purchases, and a clear statement that you wish to opt out. Opting out will not affect any other provision of these Terms.

19.5 Exceptions

This arbitration agreement does not apply to: (i) claims for injunctive or equitable relief to protect intellectual property; (ii) qualifying claims that may be brought in small claims court; or (iii) claims that cannot be subject to arbitration under applicable law.

19.6 Severability

If any portion of this Section 19 is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable, the entire Section 19 shall be void.

20. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Subject to the arbitration provisions in Section 19, the state and federal courts located in New Castle County, Delaware shall have exclusive jurisdiction over any dispute not subject to arbitration, and you consent to personal jurisdiction in such courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

21. Termination

We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, for any reason, including any breach of these Terms. Upon termination, your right to use the Services will immediately cease.

Sections that by their nature should survive termination — including Sections 8 (Medical Disclaimer and Assumption of Risk), 11 (Intellectual Property), 12 (User Submissions), 16 (Disclaimer of Warranties), 17 (Limitation of Liability), 18 (Indemnification), 19 (Dispute Resolution), and 20 (Governing Law) — shall survive.

22. Privacy

Your submission of personal information through the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy at [link to Privacy Policy].

23. Force Majeure

Nurox shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, labor disputes, supply chain disruptions, carrier delays, internet or telecommunications failures, or cyberattacks.

24. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced herein, constitute the entire agreement between you and Nurox regarding the Services and supersede all prior agreements, communications, and understandings, whether oral or written.

A failure by Nurox to enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms are not assignable, transferable, or sublicensable by you. Nurox may assign these Terms without restriction.
